株式を保有割合に注目しよう！

まず、株式会社を乗っ取るには、経営自体を乗っ取る必要があります。株式会社の株式を保有する割合で、経営への影響力が変わってきます。簡単にいってしまえば、株式の保有割合を増やせば、株式会社を乗っ取ることができるということです。では、いったいどれくらいの割合を保有すればいいのでしょうか。

株式会社を『完全』に乗っ取るには、「66.6（3分の2）%」以上、株式を保有しなければなりません。そうすることで、特別決議の『多数決の勝利条件』を獲得でき、全ての経営方針を一人で決めることができるという、神のような存在になれるでしょう。

実際は株式保有数が「50%」以上あれば、66.6%に満たなくても、実質上の最高権力者になることはでき、大抵のことは何でもできるため、『ほぼ』乗っ取っているといっても過言ではありません。できないことは取締役などの人事などが該当します。

いくらお金があっても、株式会社を乗っ取れない場合もある…

前述したとおり、株式会社の株式を「50%」以上保有すれば、株式会社を乗っ取ることができます。しかし、あなたが100兆円の資産があったとしても、株式会社を乗っ取ることはできない場合があります。

なぜか。それは株式を購入したくても、株式を購入できない場合があるからです。たとえば、株式を70%保有している株式会社のオーナーがいたとします。その場合、株式会社のオーナーが「たとえ100兆積まれても、絶対に株式を売らない」という意思を持っていた場合、株式を「66.6（3分の2）%」以上はおろか、「50（2分の1）%」も手に入れることができません。それでは株式会社を乗っ取ることはできません。

実際の株価よりも高い値段を提示した場合は、株式を売却してくれる場合が多くありますが、本当に株式会社を乗っ取ることを考えるのであれば、市場にどれくらいの割合の株式数が購入可能かを確認する必要があります。

市場にどれくらいの割合の株式数が存在するかを確認するとき、『特定株 / 浮動株』が参考になります。

特定株 / 浮動株とは

特定株とは、取引がほとんどされない株式であり、株式会社自身、会社の役員など、『利害関係者が保有する株式』になります。特定株の割合を「特定株比率」といいます。浮動株とは、すぐにでも取引される可能性がある株式であり、『一般に市場に出回っている株式』になります。浮動株の割合を「浮動株比率」といいます。

特定株比率の割合分の株式は、普通に取得することは不可能。つまり、特定株比率が『50%』を超える株式会社を乗っ取ることは非常に難しいといえます。逆に浮動株比率が『50%』を超えるような株式会社は、経営を乗っ取りやすい株式会社といえます。

特定株比率と浮動株比率を、取引に利用しよう！

さて、M&Aを検討している（株式会社を乗っ取ることを考えている）企業や投資家は、主に「特定株比率」に注目したりしますが、キャピタルゲイン（詳しくは「株式投資の『利益構造』を理解しよう！」を参照ください。）などで利益をあげることを考えている投資家は逆に「浮動株」に注目したりします。

浮動株と特定株

浮動株は株式市場で売買される株式であるため、浮動株が多ければ多いほど、市場に出回っている株が多いということになり、株式の『流動性』が高くなります。つまり、株取引されやすい株式であるため、浮動株が多い場合は多くの投資家が株主になっているといえるでしょう。この場合、多くの株主がいるため株価が客観的に判断されやすくなり、株価が適正に保たれやすくなります。

たとえば、誰かが故意に株価を吊り上げようとした場合、株式の価値以上に株価が上がってしまっているので、それに気づいた株主が株式を処分する（売る）ことで、すぐに株価が下がる（適正に戻る）傾向があります。逆に「浮動株」が少ない場合、株取引されにくい傾向があるため、誰かが故意に株価を吊り上げても株式を処分する（株価を下げる）人が少なく、株価が適正にならず乱高下する傾向があります。

投資家によってはどちらが好みかは分かれますが、より適正な株価に近づきやすい浮動株が多い株式を購入したほうが、より安定した株式投資を行えるでしょう。

ここで、1点注意しなければならないのが、浮動株比率が低くても、浮動株が多いかどうかが重要になることです。たとえば、大企業であれば浮動株比率が低くても、そもそもの発行株式数が多いため、浮動株数が多くなり、適正な株価になるケースがほとんどです。
